The Highest-Value Buyer may Not be the Best Buyer

The Highest-Value Buyer may Not be the Best Buyer

Imagine two buyers want your company.

One may pay more but eliminate your team, change the name and require you to stay for three years.

The other may offer less but protect employees, preserve the culture and allow you to leave after a reasonable transition.

Which offer is better?

There is no universal answer because value is not only the headline number.

Owners should compare:

– Cash at closing

– Seller financing and earnouts

– Certainty of financing

– Employee and customer impact

– The seller’s required role

– Timing and probability of closing

The right buyer is the buyer whose economics and plans align with the owner’s priorities.

Would you accept a lower price for better terms or more cash at closing or  stronger protection of your legacy?
